Job Description
KCB Bank Kenya is seeking a Senior Legal Counsel for Governance & Shared Services. This pivotal role ensures the bank's adherence to legal and regulatory frameworks, best practices, and internal policies concerning corporate governance. The successful candidate will be instrumental in supporting the Head Counsel for Governance & Shared Services, with a particular focus on the bank's subsidiaries in Kenya. Key responsibilities include monitoring compliance, offering expert guidance, and facilitating efficient board operations across the organization.
Key Responsibilities
- Coordinate board meetings and ensure timely presentation of board papers.
- Continuously develop and review Board policies, charters, terms of reference, governance policy, internal policies, and constitutive documents to ensure compliance with applicable laws, regulations, and best practices.
- Develop and review procedures for and compile the Board Annual Work Plan.
- Review constitutive documents of subsidiaries to ensure compliance with applicable laws, regulations, and best practices.
- Ensure regulatory compliance for subsidiary corporate records.
- Provide support for key tasks such as onboarding new directors, organizing Board Induction programs, and other Board-related activities.
- Continuously review corporate governance developments to ensure proper administration of subsidiary companies and accurate information flow to the parent company.
- Assist in preparing and reviewing board papers, pre-minutes, and supporting AGM preparations.
- Support scheduling board meetings and preparing matters arising and pre-minutes.
- Assist the Head Counsel, Governance & Shared Services, in ensuring governance arrangements for subsidiaries align with Board Charters, Governance Policy, corporate governance best practices, and applicable laws.
- Liaise with the Head Counsel to advise subsidiaries in Kenya on best corporate governance practices.
- Monitor and ensure compliance with applicable legislation and governance standards within Kenyan subsidiaries.
- Support the preparation and dissemination of high-quality board packs to the Board using standard templates across subsidiaries.
- Promote knowledge and understanding of corporate governance principles and standards within Kenyan subsidiaries.
- Provide assistance during Board, Board Committees, and Shareholder meetings, and follow up on action points.
- Support the Head Governance in preparing and filing annual and statutory returns within timelines for Kenyan subsidiaries and ensuring filing for all subsidiaries outside Kenya.
- Work with the Company secretarial team to monitor relevant legislative developments and industry best practices across Kenyan subsidiaries.
- Support the Head Counsel, Governance & Shared Services, in conducting Board evaluations and performance appraisals.
- Assist the Head Counsel, Governance & Shared Services, in responding to internal and external information requests.
- Ensure corporate information disclosures to regulatory agencies and other stakeholders comply with applicable laws and regulations.
- Develop and maintain strong relationships with internal and external stakeholders.
- Coordinate key tasks and projects managed under the Head Counsel, Governance & Shared Services.
Requirements
- Bachelor's Degree in Law.
- Diploma in Law.
- CPS(K) certification.
- At least 5 years of relevant post-admission work experience, including company secretarial, corporate governance, and legal and regulatory compliance.
- Excellent written and verbal communication skills.
- High competence in attention to detail and teamwork.
- Demonstrated integrity and ability to uphold confidential information.
